Trustee Selection Process

  1. Commencement
    1. Trustees file a petition in court to begin the Selection Process (Petition to be filed within 6 months prior to the effective date of any vacancy)
  2. Screening Committee
    1. Appointment by Court
      1. Court appoints a Screening Committee of at least 7 persons (must be appointed within 90 days of filing of the Petition)
  3. Qualifications of Members of the Committee
    1. Independent (not affiliated with KS)
      1. Knowledgeable of:
        • KS relative to the Hawaiian community and community at large
        • Pauahi's legacy and vision for Hawaiian children
      2. Experienced in the management and operation of a large institution, educational or otherwise
      3. Act as an individual and not on behalf of another group or organization
  4. Governance/Power
    1. Members are officers of the court (immunity from lawsuits)
      1. Committee's deliberations shall be private
      2. Documents and information shall remain confidential and under seal of court except as filed with the court
      3. Committee members may receive reimbursement for out-of-pocket expenses, and may receive compensation upon approval of the court
      4. Decisions by majority
      5. May retain a consultant (Kathy Inkinen engaged as Administrator for the Committee in prior process)
      6. Members must disclose if they have a conflict with any applicant
  5. [Not addressed, but the Committee may decide who will be the chair]
  6. Screening Process by Committee
    1. Committee Activities
      1. Establish qualification requirements (consider role of Trustees set forth in Policy 100[T] - Governance)
        • Master's Report also sets forth the desirable qualities and characteristics of a Trustee—see pp. 34-36 [Note: qualifications of candidates do not include Protestant religion requirement]
    2. Publish notice of vacancy and qualifications
    3. Screen and identify qualified applicants
      1. May solicit qualified applicants who might not have applied
    4. Review applicants' statements
    5. Reduce list of applicants to six (6) semi-finalists
    6. Interview semi-finalists and reduce list to three (3) finalists
    7. Submit names of finalists to court and publish names in the newspaper
    8. Solicit comments from community (Trustees and AG may submit comments) for a 30-day period
    9. Submit a final report to court after the 30-day period
  7. Applicants
    1. Provide a statement to the Committee on their role as a Trustee and goals and objectives of KS, if appointed
    2. May provide references and letters of support
  8. Court

     

    1. Schedule hearing date to select a new Trustee
    2. The Trustees and AG may submit responses
    3. Select one of the finalists or for good cause reject the list and request additional names
    4. Person selected shall be appointed for a 5-year term and will have the right to petition the court to seek one additional 5-year term (a total of 10 years)

INDIVIDUAL TRUSTEE SEEKS REAPPOINTMENT FOR ADDITIONAL TERM:

 

 

  • 6 MONTHS PRIOR TO END OF TERM, individual Trustee to engage independent counsel and file a Petition in Probate Court for reappointment for an additional term.

TRUSTEES NEED TO APPOINT A SUCCESSOR TRUSTEE:

  • 12 MONTHS PRIOR TO END OF A TRUSTEE'S TERM, OR
  • UPON A TRUSTEE ADVISING THE TRUSTEES THAT HE/SHE WILL NOT SEEK REAPPOINTMENT
    • Trustees will file a Notice of Vacancy with the Court AND
    • Trustees will file a Petition for Appointment of Successor Trustee. The Court will then appoint a Screening Committee to select a list of potential nominees from which the Court will then appoint the successor trustee.

The foregoing procedures are more fully set forth in pp. 27-38 of the Master's Report on the Petition for the Establishment of a Procedure for Selection of Trustees filed on November 22, 1999, and were incorporated by reference in the Court's Order Granting Petition for the Establishment of a Procedure for Selection of Future Trustees filed January 6, 2000.
